Elektrownia OZE 1 sp. z o.o., a company with its registered office in Warsaw, Elbrus Project Management sp. z o.o., a company with its registered office in Warsaw, SPP Wytwarzanie 34 sp. z o.o., a company with its registered office in Warsaw, and TELENERGY sp. z o.o., a company with its registered office in Warsaw, intend to merge, pursuant to Article 492 § 1 (1) of the Code of Commercial Companies, by taking over all assets of Elbrus Project Management sp. z o.o., SPP Wytwarzanie 34 sp. z o.o., and TELENERGY sp. z o.o. as the acquired companies by Elektrownia OZE 1 sp. z o.o., as the acquiring company (“Merger”).

For the purpose of complying with the obligation specified in Article 500 § 2¹ of the Code of Commercial Companies, the companies Elektrownia OZE 1 sp. z o.o., Elbrus Project Management sp. z o.o., SPP Wytwarzanie 34 sp. z o.o., and TELENERGY sp. z o.o. provide below the Merger Plan with annexes.

The Merger Plan will be available free of charge on this website, which is the website registered in the Register of Entrepreneurs of the National Court Register for: Elektrownia OZE 1 sp. z o.o., Elbrus Project Management sp. z o.o., SPP Wytwarzanie 34 sp. z o.o., and TELENERGY sp. z o.o. continuously until the date of completion of the shareholders’ meeting adopting the resolution on the merger.
